1. Acceptance of Terms

By accessing, downloading, or using the SendFi platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you and SparkTech Solutions Corporation ("SendFi," "we," "us," or "our").

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use SendFi, you must:

• Be at least 18 years of age.
• Be located in the United States, US territories, or the European Economic Area (EEA).
• Provide accurate and complete information during registration.
• Comply with all applicable laws and regulations in your jurisdiction.
• Pass our identity verification process.
• Have a valid government-issued identification document.

3.2 Geographic Coverage

SendFi services are available to individuals located in:

• 49 United States and the District of Columbia, excluding New York.
• US territories including Puerto Rico, US Virgin Islands, Guam, American Samoa, and Northern Mariana Islands.
• European Economic Area (EEA) countries.

SendFi services are currently not available to individuals located in New York State due to regulatory requirements. You do not need to be a US citizen or permanent resident, but you must be physically located in a supported jurisdiction and comply with local regulations.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Financial Services and Partnerships

4.1 Service Provider

SendFi services are provided by SparkTech Solutions Corporation ("SparkTech"). Payment and card services are powered by Gnosis Pay, a technology platform enabling self-custodial spending. The SendFi card is issued by Monavate Limited pursuant to a license from Visa®. Visa® is a registered trademark of Visa International Service Association.

4.2 Banking Services

Banking services, including deposit accounts, debit cards, and ACH transfers, are provided by our FDIC-insured banking partners and are subject to their terms and conditions.

4.3 Foreign Exchange

Transactions involving currency conversion are executed at the prevailing exchange rate at the time of processing. An exchange rate markup may apply and will be disclosed in the transaction breakdown. Exchange rates are sourced from third-party market data providers and may differ from interbank rates.

4.4 Scheme Licensing

The SendFi card is issued under license from Visa®. Visa® is a registered trademark of Visa International Service Association. The card can be used at all merchants displaying the Visa® acceptance mark.

4.5 Crypto-assets and Stablecoins

USDB is a digital asset designed to maintain a stable value relative to the US Dollar. It is not guaranteed to maintain its peg and may fluctuate in value.

5. Fees and Charges

SendFi may charge fees for certain services. All applicable fees will be clearly disclosed before you complete a transaction. Fees may include:

• Transaction processing fees.
• Currency conversion fees.
• ATM withdrawal fees charged by ATM operators.
• International transaction fees.
• Account maintenance fees, if applicable.

We reserve the right to modify our fee structure with 30 days' notice to users.

6. Prohibited Activities

You agree not to use SendFi for illegal transactions, money laundering, terrorist financing, fraud, forgery, identity theft, prohibited gambling, adult entertainment services, controlled substances, intellectual property violations, market manipulation, insider trading, or attempts to circumvent our security measures.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Compliance and Regulatory Requirements

8.1 Know Your Customer (KYC)

We are required to verify your identity and may request additional documentation to comply with federal regulations, including the Bank Secrecy Act and USA PATRIOT Act.

8.2 Anti-Money Laundering (AML)

We monitor transactions for suspicious activity and may report certain transactions to regulatory authorities as required by law. We may freeze or close accounts that exhibit suspicious activity.

8.3 Tax Reporting

You are responsible for reporting and paying all applicable taxes on your SendFi transactions. We may provide tax reporting documents as required by law.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

SendFi is provided "as is" and "as available." We do not guarantee uninterrupted access and may experience downtime for maintenance or technical issues.

9.2 Investment Risks

SendFi does not provide investment advice. All investment decisions are made at your own risk.

9.3 Limitation of Liability

To the maximum extent permitted by law, SendFi shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use.

10. Account Termination

We may suspend or terminate your account for violation of these Terms, suspicious activity, or as required by law. You may close your account by contacting customer support. Upon closure, you may withdraw your funds subject to applicable regulations and security procedures.

11. Dispute Resolution

11.1 Arbitration Agreement

Disputes arising from these Terms or your use of SendFi will be resolved through binding arbitration rather than in court, except for small claims court matters.

11.2 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

12. Changes to Terms

We may modify these Terms by posting updated Terms on our website. Material changes will be communicated via email or through SendFi. Continued use after changes constitutes acceptance of the new Terms.
